1. Agreement to Terms
These Terms and Conditions, together with any Service Agreement, form a legally binding contract between you (“Client”) and Appointix (“we,” “our,” “us”). By accessing or using our website or services (the “Site” and “Services”), you confirm that you have read, understood, and agreed to be bound by these Terms.
We reserve the right to update these Terms at any time. Updates will be posted on the Site, and continued use after posting means you accept the revised Terms.
2. Access and Client Data
Appointix grants Clients a limited, non-exclusive, non-transferable license to access the Site and use the Services for internal business purposes during the agreed term.
As between Appointix and Client, the Client owns all rights to its uploaded data. The Client grants Appointix a worldwide, royalty-free license to use such data only as necessary to provide and improve the Services.
Appointix may create aggregated, anonymized insights from usage of the Services, which remain the property of Appointix.
3. Intellectual Property
All rights in Appointix’s intellectual property (software, code, designs, text, graphics, logos, trademarks, etc.) remain with Appointix.
Except for the limited access rights in these Terms, no license is granted. Clients may not copy, modify, distribute, reverse engineer, or otherwise exploit the Services beyond the scope permitted.
4. Client Responsibilities
By using the Services, Clients confirm that:
Information provided is accurate and will be kept up to date.
Use of the Services will comply with applicable laws.
The Services will not be used for unlawful, abusive, or unauthorized purposes.
Access credentials will be safeguarded, and all activity under a Client’s account is the Client’s responsibility.
5. Confidentiality
Both parties may share confidential business, technical, or operational information. Each party agrees to protect the other’s confidential information with at least reasonable care and use it only as needed for the Services.
Confidentiality obligations do not apply to information that is public, independently developed without use of the confidential information, obtained lawfully from a third party without restriction, or required to be disclosed by law (with prompt notice where lawful).
6. Cancellations & Termination
Either party may terminate Services per the Service Agreement or, if no agreement exists, with reasonable notice.
Fees incurred prior to termination remain payable.
7. Prohibited Activities
Clients must not:
1.Harass, abuse, or harm others using the Services.
2.Upload malicious code or disrupt the Site’s operation.
3.Attempt to gain unauthorized access or impersonate others.
4.Use automated scraping, bots, or data mining tools without permission.
5.Use the Services to compete unfairly with Appointix.
8. Warranties & Disclaimers
We warrant that Services will be delivered in a professional manner and in compliance with applicable laws.
Except for this, the Services are provided “as is” without warranties of merchantability, fitness for purpose, or non-infringement.
9. Liability
To the maximum extent permitted by law, Appointix shall not be liable for indirect, consequential, or punitive damages (including lost profits, lost data, or business interruption).
Our total liability will not exceed the fees paid by the Client in the six (6) months preceding the claim.
10. Indemnification
Clients agree to indemnify and hold harmless Appointix against claims arising from misuse of the Services, violations of these Terms, or infringement of third-party rights by the Client’s use of the Services.
11. Privacy & Data Protection
Appointix respects privacy and complies with applicable global data protection laws (including GDPR where relevant).
By using the Services, Clients consent to the processing of their data in accordance with our Privacy Policy (available on the Site).
12. Modifications & Availability
We may update, suspend, or discontinue parts of the Site or Services without notice.
We do not guarantee uninterrupted availability.
13. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Delaware, USA, unless another jurisdiction is agreed in writing.
Disputes shall first be attempted to be resolved through good-faith negotiations. If unresolved, they will be submitted to binding arbitration under the rules of the International Chamber of Commerce (ICC), seated in a neutral location.
14. Miscellaneous
If any provision of these Terms is found unenforceable, the remainder will continue in effect.
No waiver of rights shall be deemed a continuing waiver.
These Terms constitute the entire agreement between the parties with respect to use of the Services.
